Terms of Service

These terms govern your use of Resídium (“Residium”, “we”, “us”), the compliance and operations platform for gated communities. By creating an account or using the platform, you agree to these terms. If you are accepting on behalf of an estate or organisation, you confirm you have the authority to do so.
1. Your account
- You must provide accurate information and keep it up to date.
- You are responsible for keeping your login credentials and transaction PIN secure, and for activity carried out under your account.
- You must be at least 18 years old to use Residium.
- Tell us promptly if you suspect unauthorised access to your account.
2. The service
Residium provides tools to run estates and personal finances — including resident and property records, fee management, compliance-linked access control, payments, wallets, and bill automation. We may add, change, or remove features over time.
Estate registrations are reviewed before approval. We may decline or revoke a registration where information cannot be verified or where use breaches these terms.
3. Payments, wallets, and fees
- Payments and wallets are processed by Nomba, a payment service provider licensed and regulated by the Central Bank of Nigeria (CBN).
- You authorise Residium to carry out the payments and automations you set up, using funds in your wallet or a payment method you provide.
- Residium may charge a fee on certain transactions. Applicable fees are shown before you confirm.
- You are responsible for funding your wallet. If a scheduled automation cannot be funded, it is paused and you are notified.
- Estate dues, levies, and shared-expense decisions are set by your estate's administrators — not by Residium.
4. Acceptable use
You agree not to:
- Use Residium for any unlawful, fraudulent, or harmful purpose.
- Upload false, misleading, or infringing information.
- Attempt to disrupt, reverse-engineer, or gain unauthorised access to the platform.
- Use another person's account or misuse access granted to you.
5. Estate data and roles
Where you administer an estate, you are responsible for the accuracy of the estate's records and for the policies you configure (such as which fees are enforced at the gate). Residents are responsible for their own fee obligations and for the accuracy of their personal details.
6. Availability
We work to keep Residium available and reliable, but the service is provided on an “as is” and “as available” basis. We may occasionally suspend access for maintenance, updates, or reasons outside our control.
7. Limitation of liability
To the fullest extent permitted by Nigerian law, Residium is not liable for indirect or consequential losses, or for losses arising from your misuse of the platform, inaccurate information you provide, or the acts of third parties (including payment providers and your estate's administrators).
8. Suspension and termination
You may stop using Residium at any time. We may suspend or terminate access if you breach these terms, if required by law, or to protect the platform and its users. Certain records may be retained after termination as described in our Privacy Policy.
9. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria, and any dispute will be subject to the jurisdiction of the Nigerian courts.
10. Changes to these terms
We may update these terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you in the app or by email. Continuing to use Residium after changes take effect means you accept the updated terms.
